Acceptance of These Terms

These Terms of Use govern access to and use of the QABILL website and the QABILL service.

Optiwizer Technologies Private Limited ("Optiwizer", "QABILL", "we", "us" or "our") operates QABILL, a cloud-based business billing and operations platform.

Registered Office: 21-D, Block PD, Pitampura, New Delhi – 110034, Delhi, India.

If you create an account, or if you access or use QABILL, you agree to these Terms. If you do not agree, do not use the service.

Some provisions apply to use of an account, a trial, a plan, or a paid feature. Those provisions apply when you use the part of QABILL they describe. Visiting the public website does not, by itself, mean that every account provision applies to you.

Eligibility and Authority

QABILL is intended for businesses and for individuals using it in the course of a business. To create an account or use QABILL, you must be at least 18 years old and legally competent to enter into a binding contract under the Indian Contract Act, 1872.

If you create an account or use QABILL on behalf of a company, firm, proprietorship, or other business entity, you represent that you have authority to create the account, bind that business to these Terms, and use QABILL on its behalf.

About QABILL

QABILL is a cloud-based business billing and operations platform. Depending on the plan, it can bring everyday business workflows into one service. Current capabilities described on this website include:

  • Billing and invoicing
  • Quotations and sales orders
  • Counter and instant sales
  • Customer management and customer payments
  • Inventory, stock tracking, stock adjustments, and, on applicable plans, stock transfers
  • Purchasing, purchase orders, GRN / goods receiving, vendor records, and vendor payments
  • Expenses
  • GST and GSTR reporting data, and other business reports
  • A dashboard on applicable plans
  • Users, roles, permissions, and, on applicable plans, approval workflows and Work Queue
  • Customer groups, packs, custom fields, and templates and configuration on applicable plans
  • Item management, including assemblies and serial or batch tracking on applicable plans
  • Customer and item pricing information on the sale screen

What is included depends on the plan. The Features page describes the product, and the Pricing page shows which plans include which capabilities.

QABILL is business software. It does not provide accounting, tax, legal, or other professional advice, and it does not file GST returns for you.

Account Registration and Security

You may need to provide information when you create a QABILL account. Account creation takes place in the QABILL application.

You are responsible for:

  • Providing accurate information
  • Keeping account information current
  • Keeping your sign-in credentials confidential
  • Controlling who can access the account
  • Making sure people you authorise use the account appropriately

Free Trial

QABILL offers a 14-day free trial. No credit card is required to start it.

The trial is for evaluating QABILL. Trial access is subject to the applicable plan and to the limits of the service during the trial. QABILL may change the trial offer for registrations that start later.

Starting a trial does not place a charge on a card, and the account is not converted to a paid subscription automatically. When the trial period ends, the account moves to the Free plan unless you choose a paid plan.

Plans and Subscriptions

Free plan. The current Free plan includes 1 user, 1 location, and 50 sales orders per month. It is intended for simple counter billing and instant fulfillment. These Terms do not promise that the Free plan will remain available permanently, or that its limits will stay the same.

Paid plans. The current paid plans are Essential and Professional, available with monthly or annual billing. A paid subscription is governed by the plan you select, the capacity you select, the applicable pricing, applicable taxes, and any additional capacity or usage charges that apply. Plan details and current prices are on the Pricing page.

Renewals and non-renewal. Paid subscriptions do not renew automatically unless you explicitly authorise a recurring payment method where available. To continue paid access at the end of a billing period, you must renew the subscription. If a paid subscription is not renewed by its due date, QABILL may provide a short grace period (typically 3 days), after which the account moves to the Free plan. Cancellation, non-renewal, and refunds are governed by the Refund & Cancellation Policy.

Plan and capacity changes. On paid plans, upgrades (such as moving from Essential to Professional, switching from monthly to annual billing, or adding users, locations, or blocks of 100 sales orders) take effect upon payment and are prorated for the remainder of the current billing period. Downgrades or reductions in plan tier, billing cycle, users, locations, or sales-order capacity are scheduled to take effect at the end of the current paid billing period, provided your active users and locations are within the lower limits.

Capacity and Usage

QABILL plans may limit capacity for users, locations, and sales orders.

You need to stay within the capacity included in the plan you select, or purchase additional capacity where that plan allows it. The Free plan has fixed capacity. Essential and Professional can add users, locations, and sales-order capacity as described on the Pricing page.

Add-ons

QABILL may offer optional add-ons separately from the core plans. Storefront is an optional add-on for taking a business online. It is not included in Free, Essential, or Professional.

Current add-on information is on the Pricing page, and add-on cancellation and refund rules are set out in the Refund & Cancellation Policy.

Communication Wallet

QABILL's upcoming Communication Wallet is designed for WhatsApp, SMS, and Email communications. When available, these channels use a prepaid wallet rather than separate monthly subscription plans.

Communication use consumes prepaid wallet balance at the per-message rates displayed in the QABILL application, and you must recharge the wallet to continue sending messages. Delivery of messages depends on third-party telecom and messaging networks (such as WhatsApp, SMS aggregators, and email networks) and is subject to regulatory and carrier rules (including DLT and template rules in India).

Communication Wallet balances are non-refundable and do not expire. Charges applicable to different communication services may be revised from time to time. See the Refund & Cancellation Policy.

Payments and Taxes

If you purchase a paid plan, capacity expansion, add-on, or wallet recharge, you agree to pay the applicable charges and all applicable taxes (including Goods and Services Tax in India) at the rates in effect when the transaction is billed.

Payments are processed in Indian Rupees (INR) through authorised third-party payment gateways such as Razorpay or Zoho Payments. Subscription charges are billed in advance for the selected monthly or annual billing period. If a payment fails or a subscription is not renewed by the end of its billing period (and any applicable grace period), paid access ends and the account moves to the Free plan.

Your Data and Business Content

You may enter business and operational information into QABILL so you can use the service. That information may include customer information, vendor information, product and item information, sales records, purchase records, inventory records, payment records, GST or other business information, and other operational records.

You are responsible for: the accuracy of the information you enter; having the rights or authority needed to use that information; complying with applicable laws when you use the service.

The business using QABILL decides what information it enters. QABILL does not take ownership of that customer or business information. QABILL handles it as needed to provide the service, and as described in the Privacy Policy.

Privacy

Your use of QABILL is also subject to our Privacy Policy, which explains how we collect, use and handle personal information.

Acceptable Use

You must not:

  • Use QABILL for an unlawful purpose
  • Use QABILL to commit fraud
  • Attempt to access an account, system, or data without authorisation
  • Circumvent access controls
  • Interfere with the operation of QABILL
  • Introduce malware or other malicious code
  • Attempt to disrupt the service
  • Abuse WhatsApp, SMS, Email, or other communication functionality
  • Infringe another person's intellectual property or privacy rights
  • Reverse engineer the service, except where the law allows it
  • Use the service in a way that violates applicable law

Intellectual Property

The QABILL software, website, product interface, branding, logos, documentation, and content created by QABILL are owned by or licensed to Optiwizer, subject to the rights that apply to them.

While your use is authorised, you receive a limited right to access and use QABILL under these Terms and the plan that applies to the account. That right is for your business use of the service. It does not transfer ownership of QABILL to you.

These Terms do not give Optiwizer ownership of the business information you enter into QABILL.

Third-Party Services

QABILL uses and connects with third-party services to operate the website and the product, including cloud hosting and database infrastructure (such as Vercel and cloud database providers), payment gateways (such as Razorpay and Zoho Payments), email and messaging networks (such as Resend, Gupshup, MSG91, and Twilio), and optional merchant integrations.

Where an integration is enabled, QABILL can connect with services such as Shopify. QABILL does not control third-party services or networks, and your use of third-party services or integrations may be subject to their separate terms and policies.

Service Availability

We work to keep QABILL reliable and available, but QABILL is provided on an "as-is" and "as-available" basis without a guaranteed uptime service level agreement (SLA). The service may occasionally be unavailable due to scheduled or emergency maintenance, updates, infrastructure or third-party service outages, network or internet problems, or events beyond our reasonable control.

Service Changes

QABILL may, as part of operating and improving the service: add features; modify features; improve workflows; change interfaces; or remove or discontinue functionality. Where we make a change that materially reduces core functionality of a paid plan during an active subscription term, we will use reasonable efforts to notify affected accounts in advance.

Support

You can contact QABILL through the Contact page or by emailing support.qabill@optiwizer.com. These Terms do not promise particular support hours, a dedicated support contact, or guaranteed response or resolution times.

Suspension of Access

QABILL may restrict or suspend access where that is reasonably necessary. Examples include a material breach of these Terms, fraudulent or unlawful activity, a security threat, abuse of the service, non-payment where charges apply, or a legal or regulatory requirement.

These Terms do not state that every suspension happens immediately, and they do not set a notice period.

Termination

You may stop using QABILL or cancel a paid subscription at any time in accordance with the Refund & Cancellation Policy.

QABILL may end or restrict access in the circumstances these Terms allow and as applicable law permits. These Terms do not set a cancellation notice period or a termination fee.

Effect of Termination

When a paid subscription ends or is cancelled without a refund, paid access continues until the end of the current billing period and the account then moves to the Free plan, where business data remains accessible subject to the limits of the Free plan. You are responsible for exporting or keeping copies of your business records. As set out in the Refund & Cancellation Policy, QABILL may delete an inactive account and its associated data after 3 months of inactivity.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and your responsibility for data you entered — will continue to apply.

Refunds and Cancellations

Refunds and cancellations are governed by the QABILL Refund & Cancellation Policy.

Disclaimer

QABILL is business software intended to help you manage business operations. It is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. QABILL does not guarantee business results, tax compliance, error-free records, or uninterrupted operation, and it does not replace professional accounting, tax, or legal advice.

Where QABILL prepares GST or GSTR reporting data, including GSTR-1 and GSTR-3B information, you remain responsible for reviewing that information and for meeting your own tax and legal obligations. QABILL does not determine your tax position and does not file GST returns for you.

Limitation of Liability

To the maximum extent permitted by applicable law, Optiwizer Technologies Private Limited and its directors, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, or data, or for any tax assessments, interest, or penalties arising out of or relating to your use of or inability to use QABILL, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Optiwizer Technologies Private Limited for all claims arising out of or relating to these Terms or the QABILL service will not exceed the total subscription fees actually paid by you to Optiwizer Technologies Private Limited for the affected QABILL account during the three (3) months immediately preceding the event giving rise to the claim (or ₹1,000 if you have only used the Free plan or free trial).

Indemnification

You agree to indemnify, defend, and hold harmless Optiwizer Technologies Private Limited and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable expenses (including reasonable legal fees) arising out of or connected with: (a) the business, customer, vendor, or other data you enter into or process through QABILL; (b) your breach of these Terms or violation of applicable law; (c) your tax, invoicing, or regulatory compliance obligations; or (d) communications or messages sent by or on behalf of your business using QABILL.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the use of QABILL shall be subject to the exclusive jurisdiction of the competent courts at New Delhi, Delhi, India.

Force Majeure

QABILL may be affected by events beyond reasonable control. Those events can include a natural disaster, an internet or infrastructure failure, a government action, war, civil unrest, or another event of that kind.

Changes to These Terms

QABILL may update these Terms from time to time. When we publish an update, we will revise the "Last updated" date at the top of this page. Where a change is material, we will provide reasonable notice via the website, inside the application, or by email to account administrators. Continued use of QABILL after the updated Terms take effect constitutes acceptance of the revised Terms.
